LOTUS WORKFORCE – TERMS & CONDITIONS

These Terms & Conditions (“Terms”, “Terms and Conditions”) govern the access to and use of the LOTUS WORKFORCE mobile application (“App” or “Platform”), operated by Lotus Workforce (“Company”, “we”, “us” or “our”).
By registering on, accessing, browsing or using the App, you (“User”, “you” or “your”) acknowledge that you have read, understood and agreed to be legally bound by these Terms and any applicable policies, guidelines and notices displayed on the App.
If you do not agree with these Terms, you must not register for or use the App.
1. ABOUT LOTUS WORKFORCE
LOTUS WORKFORCE is a technology-enabled facilitation platform designed to connect customers with independent service providers, including but not limited to:
The Platform may allow eligible service providers to register under one or more service categories and offer their services to customers.
The Company primarily provides a technology platform for registration, discovery, communication, work facilitation, payment processing and commission settlement.
Lotus Workforce is not itself an employer, contractor, labour supplier, recruitment agency, or agent of any Worker, Labour, Contractor or Service Provider.
2. DEFINITIONS
For the purpose of these Terms:
“Customer” means any individual, business, organisation or other person who uses the App to request or obtain services.
“Worker” / “Labour” / “Service Provider” means an individual or entity registered on the Platform to provide services.
“Contractor” means a person or business registered on the Platform to provide contractual, labour or other permitted services.
“Service” means any work or home service offered or facilitated through the Platform.
“Commission” means the fee payable to the Company for use of the Platform and its facilitation services.
“KYC” means the identity and verification information/documents required by the Company from a User.
3. ELIGIBILITY
To register and use the Platform:
4. SERVICE PROVIDER REGISTRATION
A Worker, Labour, Contractor or other Service Provider may register on the App under one or more service categories supported by the Platform.

The Service Provider is solely responsible for ensuring that the information provided regarding skills, experience, qualifications, licences, certifications and services offered is accurate and current.
The Company does not guarantee that registration will result in receiving work, bookings, customers or income.
5. KYC AND VERIFICATION
KYC verification may be mandatory for Workers, Labourers, Contractors and other Service Providers before they are permitted to accept or perform work through the Platform.
The Company may request documents or information reasonably required for verification, including identity, address, professional or other relevant information.
The User agrees that:
Submission of KYC documents does not automatically mean that the Company guarantees the User's qualifications, experience, character or professional competence.
The Company may reject, suspend or terminate an account where KYC requirements are not satisfied or where information appears inaccurate, fraudulent or unverifiable.

Every Worker, Labour, Contractor and Service Provider is independently responsible for:

9. PLATFORM FACILITATION
The Company provides technology and facilitation services to enable Users to connect and coordinate for Services.

The Company does not guarantee the availability, quality, suitability, timing or successful completion of any Service.
10. INDEPENDENT RELATIONSHIP / NO EMPLOYMENT
All Workers, Labourers, Contractors and Service Providers using LOTUS Workforce operate as independent service providers and not as employees of Lotus Workforce.
Nothing in these Terms shall be interpreted as creating:
between the Company and any Service Provider.
Service Providers are responsible for their own taxes, statutory obligations, licences, insurance, tools, equipment, personnel and other obligations applicable to their independent business or professional activities, to the extent required under applicable law.
The Company does not guarantee any minimum number of jobs, bookings, working hours or income.
11. MULTIPLE SERVICE CATEGORIES
A Service Provider may register for multiple service categories if such functionality is available on the App.
The Service Provider represents that they possess the required skill, knowledge, experience and/or qualification to provide every service category selected by them.
The Company may restrict or remove any service category from an account where the Service Provider does not satisfy applicable requirements.
12. COMMISSION-BASED BUSINESS MODEL
LOTUS Workforce operates on a commission-based platform model.
Applicable Commission may be charged in connection with transactions involving:

Applicable Commission rates, fees or deductions will be displayed or communicated through the App or applicable transaction flow.

The applicable Commission shown to the User at the relevant transaction stage shall generally govern that transaction, subject to applicable law and any clearly communicated changes.
13. SERVICE PRICE AND ESTIMATES
The price of a Service may depend on factors including:
Unless expressly stated otherwise, the Company does not determine or guarantee the final amount payable for work performed by an independent Service Provider.
Any additional work or material charges should, where reasonably possible, be communicated and agreed upon between the Customer and Service Provider before such additional work is undertaken.
14. PAYMENTS AND RAZORPAY
Payments made through the Platform may be processed through Razorpay or another authorised payment service provider used by the Company.
The Company does not ordinarily store complete debit card, credit card or banking credentials on its own systems where payment processing is handled by the authorised payment processor.
Users may be required to accept the applicable terms and policies of the payment service provider.

The Company is not responsible for delays caused solely by banks, payment gateways, financial institutions, technical infrastructure or other third parties outside the Company's reasonable control.
15. COMMISSION DEDUCTION AND REFUNDS
Where Commission has been validly charged or deducted in accordance with the applicable transaction terms, such Commission shall generally be non-refundable, except where a refund is required by applicable law or expressly approved by the Company.
Any refund of a Customer payment, where applicable, may be subject to the Company's refund policy, transaction circumstances, payment gateway rules and applicable law.
A refund of the service amount does not automatically mean that any Commission or other applicable fee will also be refunded.
16. CANCELLATION AND NON-COMPLETION OF WORK
A Customer or Service Provider may cancel a booking or work request subject to the applicable cancellation terms displayed on the App.
The Company may impose restrictions, deductions or other consequences for repeated cancellations, abandonment of accepted work, fraudulent cancellations or misuse of the Platform, to the extent permitted by applicable law.
The Company shall not be responsible for delays, cancellations or non-completion of Services caused by a User or by circumstances outside the Company's reasonable control.
17. DISPUTES BETWEEN CUSTOMERS AND SERVICE PROVIDERS
Any dispute relating to:
should first be communicated to and resolved between the relevant Customer and Service Provider.
The Company may, at its discretion, assist in communication, investigation or facilitation of a dispute.
However, the Company's facilitation of a dispute does not make the Company a party to the underlying service contract between the Customer and Service Provider and does not guarantee any particular outcome.
The Company may take reasonable Platform-level action where there is evidence of policy violations, fraud, misconduct or misuse.
18. USER CONDUCT AND PROHIBITED ACTIVITIES
Users must not:

19. ACCOUNT SUSPENSION AND TERMINATION
The Company reserves the right, subject to applicable law, to suspend, restrict or terminate an account where:

Termination of an account does not automatically extinguish obligations or liabilities that arose before termination.
20. WITHHOLDING / REVIEW OF PAYMENTS
Where permitted by applicable law, the Company may temporarily hold, delay or restrict settlement of amounts where there is:

21. INTELLECTUAL PROPERTY
The LOTUS Workforce App, including its software, design, interface, trademarks, logos, graphics, text, content, databases and other materials, is owned by or licensed to the Company or its relevant licensors.
Users are granted a limited, non-exclusive, non-transferable and revocable right to use the App for its intended purpose.

22. USER CONTENT AND INFORMATION
Where Users upload photographs, service information, profiles, descriptions, reviews or other content to the Platform, they represent that they have the necessary rights to provide such content.
The User grants the Company a non-exclusive right to use such content for operating, improving, displaying and promoting the Platform, subject to applicable law and the Company's Privacy Policy.
The Company may remove content that violates applicable law, these Terms or Platform policies.
23. REVIEWS AND RATINGS
The Platform may allow Customers and Service Providers to provide ratings or reviews.

The Company does not guarantee the accuracy of every User review or rating.
24. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Lotus Workforce shall not be responsible or liable for losses arising directly or indirectly from:

25. NO GUARANTEE OF SERVICE AVAILABILITY
The Company does not guarantee that:

26. THIRD-PARTY SERVICES
The App may integrate with or rely upon third-party services, including payment gateways, verification providers, mapping services, communication providers and other technology providers.
Third-party services may be subject to their own terms, conditions and privacy policies.
The Company is not responsible for the independent acts, omissions, policies, availability or technical failures of third-party service providers, except to the extent required by applicable law.
27. TAXES
Users are responsible for complying with applicable tax laws and for payment of taxes, levies, duties or other statutory obligations applicable to their income, services or transactions.
The Company may collect, deduct or report amounts where required by applicable law.
28. PERSONAL DATA AND PRIVACY
The Company may collect and process User information necessary to provide and operate the Platform, including registration information, KYC information, service information, transaction information and other information as permitted by applicable law.
The Company's collection, use, storage and processing of personal information shall be governed by its applicable Privacy Policy, which forms part of these Terms.
Users should read the Privacy Policy carefully before using the Platform.
29. INDEMNIFICATION
To the maximum extent permitted by applicable law, the User agrees to indemnify and hold harmless Lotus Workforce, its owners, directors, officers, employees, representatives and service providers from claims, losses, damages, liabilities, costs and expenses arising from:

30. FORCE MAJEURE
The Company shall not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, floods, fire, epidemic, pandemic, war, civil disturbance, governmental action, strikes, telecommunications failures, internet failures, cyber incidents, power failures or failures of third-party service providers.
31. MODIFICATION OF TERMS
The Company may modify, update or replace these Terms from time to time.
Updated Terms may be made available through the App or other appropriate communication methods.
The updated Terms shall become effective from the date specified in the updated Terms.
Where required by applicable law, the Company may provide additional notice or obtain consent for material changes.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.
32. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to any mandatory jurisdiction or dispute-resolution rights available under applicable law, disputes relating to these Terms or the Platform shall be subject to the jurisdiction of the competent courts at Amritsar, Punjab, India.
33. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal or unenforceable by a competent authority, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
34. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and other policies or rules expressly incorporated into the Platform, constitute the agreement between the User and Lotus Workforce concerning the use of the Platform.
